Salon Prive LLC, 16192 Coastal Highway, Lewes, Delaware 19958, United States ("Salon Privé", "we"). These terms apply to every trade account and every order placed under one.
1. Scope, eligibility and your account
1.1 These terms govern the trade account ("Account") we open for you and every quotation, order and delivery made under it. They apply together with our website terms and privacy policy. Where they conflict, these terms prevail for trade orders.
1.2 Accounts are for design and trade professionals buying for their business or their clients: interior designers, architectural practices, property developers, hospitality procurement teams, yacht and private jet specialists, home stagers, boutiques and similar businesses. We may ask for proof of trading and two trade references, and we may decline, suspend or close an Account at our discretion.
1.3 You are responsible for everyone who uses your Account. Orders placed by your staff or agents through the Account bind you.
1.4 Applying is free. There is no minimum order value and no annual spend requirement.
1.5 Our role. Salon Privé is a curated marketplace. We select, quote, order, pay and coordinate on your behalf and on behalf of the makers whose pieces we supply, and we are the party you contract with and pay. Every piece is designed, made, packed, warranted and dispatched by its maker. Our obligations for the quality, timing and conformity of a piece are limited to passing the maker's obligations on to you and pursuing any claim with the maker on your behalf. The makers are our suppliers and are not parties to your order.
1.6 Brand rules vary. These are our standard terms. Each maker has its own rules on deposits, lead times, changes, returns, warranty and packaging. We pass those rules on to you and state them on your quotation or order confirmation. Where a maker's rule is stricter than these terms, the maker's rule applies to that order.
2. Pricing, quotations and payment
2.1 Trade pricing is quoted per project. Prices shown on salonprive.shop are retail prices and are for reference only; your trade price is the price on your written quotation.
2.2 A quotation is valid for 30 days from its date unless it says otherwise. After that, prices, lead times and shipping may be requoted. Quotations are in the currency stated on them (USD, GBP or EUR) and payment is due in that currency.
2.3 We do not offer credit. Every order is paid in advance according to the payment schedule on the quotation. The schedule depends on the brand and the piece and will be one of:
- payment in full on order, or
- a deposit on order (the percentage stated on the quotation, typically 50 to 70 percent) with the balance due before dispatch.
2.4 Production of made to order and bespoke pieces does not start, and ready to ship pieces are not reserved, until the deposit or full payment has cleared. Lead times run from cleared funds, not from the order date.
2.5 The balance, together with any shipping, insurance, duties or taxes shown as payable to us, must clear before the goods leave the maker. Goods held for unpaid balances may incur storage charges after 14 days.
2.6 Payment is by bank transfer or card through the payment link on your invoice. Bank charges, currency conversion and card fees on your side are yours. We do not accept cheques.
2.7 Deposits are not refundable once production or reservation has started (see 3.3). Where a deposit is refundable, we refund it by the method it was paid, less any bank or card fees we cannot recover.
2.8 Trade pricing is for your business. You set your own prices to your clients. You must not publish our trade prices or present them as the retail price of the piece.
3. Orders, production, changes and cancellation
3.1 An order is placed when you confirm a quotation in writing and the deposit or full payment clears. We then issue an order confirmation showing the pieces, finishes, fabrics, dimensions, price, payment schedule, estimated lead time and delivery terms. Check it carefully; it is the specification we produce to.
3.2 Most pieces are made to order. Lead times on quotations and confirmations are estimates given by the maker and are not guaranteed. We will tell you as soon as we know of a delay. We are not liable for any loss, cost or compensation arising from delay, whatever its cause. If a piece cannot be delivered within 90 days of the estimated date, we will discuss the options with you, which may include a replacement piece or a refund of the amounts you have paid for that piece. That is your only remedy for delay.
3.3 Made to order, customised and bespoke pieces cannot be cancelled or changed once production has started. Before production starts, you may cancel in writing and we refund the deposit less any costs the maker has already incurred. Ready to ship pieces may be cancelled before dispatch for a full refund.
3.4 Changes to finish, fabric, dimensions or quantity after confirmation are at the maker's discretion and may change the price and lead time. Any change must be confirmed by us in writing.
3.5 Natural materials vary. Wood grain, marble veining, leather markings, hand applied finishes and hand woven textiles differ from samples and photographs. These variations are characteristics of the piece, not defects. Dimensions may vary by up to 3 percent.
3.6 Where you supply your own material (COM or COL), you are responsible for its suitability, quantity and delivery to the maker. Lead times run from the date the maker receives it.
3.7 Electrical items are supplied to the standard of the country of manufacture unless the quotation says otherwise. You are responsible for confirming suitability and certification for the installation country.
4. Delivery, customs, risk, inspection and claims
4.1 Delivery terms are stated on the quotation using Incoterms 2020. Unless it says otherwise, shipping is quoted separately and is payable with the balance. Where the quotation says duties and taxes are for the receiver, the carrier or our forwarder will invoice you or your client directly before clearance and the goods are released only once those are paid.
4.2 Pieces ship from the maker's workshop. Delivery dates are estimates. We are not liable for delays by carriers, customs or events outside our control.
4.3 You must provide an accurate delivery address, a contact who can receive the goods, and accurate access details (floors, lifts, stairs, door widths, parking, restrictions). Failed deliveries, waiting time, redelivery and storage caused by missing or wrong details are charged to you.
4.4 Risk in the goods passes to you when they are delivered to the address on the order, or when they are handed to a carrier you have arranged. Title passes when we have received payment in full.
4.5 Inspect every delivery on arrival. Note any damage to packaging or goods on the carrier's delivery note before signing. Report damage, shortages or wrong items to trade@salonprive.shop within 48 hours of delivery with photographs of the packaging, the goods and the delivery note. Claims made outside this window, or where packaging was signed for as received in good condition without a note, may be refused by the carrier or insurer and we cannot then pursue them for you.
4.6 Where a claim is accepted we will, at our option, repair, replace or credit the affected piece. Replacement lead times are those of the maker. Do not return anything without our written instruction.
4.7 Unpacking, assembly and installation are your responsibility unless white glove delivery or installation is itemised on the quotation.
5. Samples, confidentiality, intellectual property and liability
5.1 Fabric, finish and material samples are arranged through the maker for your project. Samples are an indication of colour and texture, not a guarantee of the finished piece. Large or costly samples may be chargeable and returnable; we will tell you before sending them.
5.2 Quotations, trade prices, lead times, maker names and any project information we share with you are confidential to your business and your client for that project. You must not share them with other suppliers or publish them. We treat your client and project details the same way.
5.3 Product photography, descriptions, drawings and specifications are the property of Salon Privé or the makers. You may use them to present pieces to your clients for a project ordered or quoted through us. Any other use, including publication, advertising or resale listings, needs our written permission.
5.4 The maker's warranty, where one is given, is passed to you on the terms the maker sets. It does not cover normal wear, fading, natural material variation, misuse, incorrect installation, outdoor use of indoor pieces, or alterations. Warranty claims go through us, not directly to the maker.
5.5 Our total liability for any order is limited to the amount you paid us for that order. We are not liable for loss of profit, delay costs, site costs, consequential loss or your liability to your client, except where the law does not allow us to exclude it. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
5.6 Suggestions we make about suitability, dimensions or combinations are given in good faith. Final specification, measurement and approval of pieces for your project are your responsibility.
6. Tax, suspension, governing law and changes
6.1 Prices exclude sales tax, VAT, import duties and similar charges unless the quotation says they are included. Where you hold a resale or exemption certificate, send it to trade@salonprive.shop before ordering; we cannot apply it to invoices already issued.
6.2 We may suspend or close an Account for late or failed payment, breach of these terms, misuse of pricing or imagery, or inactivity of more than 24 months. Orders already confirmed continue on these terms.
6.3 Neither party is liable for failure to perform caused by events outside its reasonable control, including maker closure, materials shortages, carrier failure, strikes, extreme weather, war, sanctions or government action. Affected dates are extended for the period of the event.
6.4 These terms and every order under them are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. The parties will try to resolve any dispute by discussion first. Any dispute not resolved within 30 days is submitted to the state or federal courts sitting in Delaware, and both parties accept their jurisdiction.
6.5 We may update these terms. The version in force when you confirm a quotation applies to that order. We will post the current version at salonprive.shop/trade/ and tell Account holders by email when material changes are made.
6.6 If any clause is found unenforceable the rest of these terms continue to apply.
6.7 Questions about these terms or your Account: trade@salonprive.shop.
